Terms of Engagement

These Terms of Engagement ("Terms") govern the professional relationship between Tavonis Solutions ("we", "our", "us") and any individual or organization ("Client", "you") that engages our services. By initiating an inquiry, signing a project agreement, or accessing our deliverables, you agree to be bound by these Terms.

Tavonis Solutions provides bespoke digital solutions including, but not limited to, custom software engineering, cloud architecture, UX/UI design, and strategic digital transformation. The precise scope of services for each engagement is defined in a mutually executed Statement of Work ("SOW") or Project Agreement. Any changes to the agreed scope must be formalized through a written Change Order.

Project fees are specified in the respective project agreement. Unless otherwise stated, invoices are due within 14 calendar days of issuance. Late payments may be subject to a reasonable interest charge. Tavonis Solutions reserves the right to suspend work on any engagement where payments are significantly overdue after written notice has been provided.

Upon receipt of full and final payment for a project, Tavonis Solutions assigns to the Client all intellectual property rights in the custom deliverables created specifically for that engagement. Tavonis Solutions retains full ownership of all pre-existing frameworks, tooling, libraries, and methodologies used during delivery. Any open-source components remain subject to their respective licenses.

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during an engagement. This obligation remains in effect during the engagement and for a period of two (2) years following its conclusion. This clause does not apply to information that is publicly available or required to be disclosed by law.

Tavonis Solutions warrants that services will be delivered with reasonable skill and care, in a professional manner consistent with industry standards. We do not warrant that deliverables will be entirely free of defects. Where defects are identified within 30 days of delivery, Tavonis Solutions will endeavour to remedy them at no additional cost.

To the maximum extent permitted by applicable law, Tavonis Solutions' total liability to the Client for any claims arising from an engagement shall not exceed the total fees paid by the Client for the specific project giving rise to the claim. In no event shall Tavonis Solutions be liable for indirect, incidental, or consequential damages.

Either party may terminate a project engagement with 14 days' written notice. Upon termination, the Client shall pay for all work completed up to the termination date. Any partially completed deliverables will be handed over at Tavonis Solutions' discretion. Termination does not affect clauses relating to payment, intellectual property, or confidentiality.

These Terms of Engagement shall be governed by and construed in accordance with the laws of India. Any disputes arising from an engagement shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat, India.

Tavonis Solutions reserves the right to update these Terms at any time. Clients will be notified of material changes. Continued engagement with our services following any update constitutes acceptance of the revised Terms.
